Paid App Terms & Conditions

Effective October 26, 2026 · Version 1.0.

1. Agreement and scope

These App Terms govern applications supplied by Tall Guy Technologies Inc., a North Carolina corporation (“TGT,” “we,” or “us”), to the organization obtaining the app (“Customer” or “you”). The person accepting must have authority to bind Customer. These terms apply when presented and accepted through an installation, purchase or other affirmative acceptance process. Mere browsing of this website does not by itself constitute acceptance. Consulting, custom development and themes require separate terms or an agreed written scope; these terms do not automatically govern those services.

2. Orders and other terms

The applicable Marketplace order identifies the app, plan, billing unit and subscription period. A signed agreement expressly varying these terms controls the stated variation; a signed data-processing agreement controls conflicting personal-data processing provisions; these terms otherwise control app use, and the order controls product/price details. Product documentation describes functionality, requirements and limits, but does not silently expand legal or service commitments. Zendesk and Stripe have separate terms for their services. Our Privacy Policy explains data practices and is not a substitute for a data-processing agreement.

3. License and authorized users

During the authorized subscription or trial, TGT grants Customer a limited, non-exclusive, non-transferable right to use the app for Customer’s internal business operations in the licensed Zendesk account and within the purchased plan. Authorized users must hold the required Zendesk permissions and licenses. Customer remains responsible for their use. No ownership of the app, development source, trademarks or other protected materials transfers. Separately licensed open-source components remain governed by their applicable licenses.

4. Acceptable use and intellectual property

Except as permitted by a written agreement, applicable component license or non-excludable law, do not redistribute app packages or protected code, resell or sublicense access, remove proprietary notices, circumvent license/security controls, or adapt protected TGT materials into another product. Reverse engineering, decompilation and disassembly are restricted only to the extent legally permitted, preserving mandatory interoperability and other statutory exceptions. Do not use the app for unlawful access, unsolicited messaging, infringement, malicious code or interference with Zendesk or other customers. These terms do not give TGT ownership of general ideas, customer workflows or independently developed functionality. TGT and its licensors retain only the rights they actually own.

5. Customer responsibilities and permissions

Maintain your Zendesk subscription, authorized access, accurate billing/contact details and the rights and notices required for your customer content. Review settings and test material workflow changes in an appropriate environment before production use. You authorize the app to perform documented operations you configure or request; this does not authorize unrelated collection or reuse. App features do not override Zendesk role restrictions. Keep appropriate backups and review documented deletion, message-sending and other consequential actions. These responsibilities do not excuse TGT from obligations the law places on it.

6. Customer content, privacy and confidentiality

Customer retains rights in its content. TGT may process content only as needed to provide the documented app functionality to that Customer, deliver authorized support, or meet applicable law. No permission to sell customer content, create unrelated data products or train general AI models is granted. Per-app disclosures identify actual access, storage, permissions, external processing and removal behavior. Where legally required, processing must be covered by an appropriate data-processing agreement before it begins. Each party must protect the other’s non-public information using reasonable care and limit access to authorized purposes. Confidentiality excludes information lawfully public, independently developed, already lawfully known or lawfully received without restriction. Required legal disclosure is permitted, with notice when legally allowed. Browser-delivered code is not promised to remain secret.

7. Marketplace fees, trials and renewals

Prices, billing unit, taxes, subscription interval and any trial are disclosed in Zendesk Marketplace before purchase. TGT does not take website checkout payments for these apps. Monthly subscriptions renew automatically under the Marketplace order until cancelled through its supported process. An offered trial may require a payment method and convert to paid service at expiry unless cancelled in time. You authorize applicable renewal charges through the Marketplace/payment arrangement. Plan or licensed-user quantity changes may affect charges as disclosed in that flow; no unspecified quantity or price increase is authorized by this clause. Taxes apply where required. Material price increases will be disclosed before the affected renewal with any notice required by law and an opportunity to cancel; prepaid periods are not repriced retroactively.

8. Cancellation and refunds

An administrator can cancel a Zendesk Marketplace app subscription by uninstalling the app through Zendesk’s app-management controls. Review the app’s backup and removal instructions first: uninstalling can remove configuration or settings and ends access to the uninstalled app. Zendesk’s published cancellation guidance provides for proration of the remaining subscription cost back to the payment method on file. Applicable Marketplace cancellation and refund rules govern that transaction; these Terms do not override them. Confirm cancellation and any refund in the account and payment records. Stopping use, disabling an app or emailing a support request alone does not necessarily cancel the subscription. Contact support if cancellation fails, a charge appears incorrect or an expected refund is missing. TGT will investigate billing errors and material failures to match documented core functionality and provide remedies required by law, the accepted order or applicable Marketplace rules. Additional goodwill refunds are discretionary. Nothing removes mandatory cancellation, refund or consumer rights.

9. Support and changes

Support is provided at contact@tallguytechnologies.com for supported app versions and documented features. There is no guaranteed response time, uptime or custom-development commitment unless separately agreed. TGT may provide updates, security fixes and compatibility changes, including changes needed for Zendesk platform updates. We will communicate material reductions to paid core functionality in advance where practicable, except for urgent security, legal or platform requirements. If TGT permanently discontinues paid service without Customer breach, we will provide reasonable notice where practicable and refund unused prepaid service for the discontinued period. Future features and roadmap items are not purchase commitments.

We work to improve usability and accessibility, but do not make a blanket claim that every app conforms to a particular accessibility standard or works with every assistive technology. Product-specific commitments must be expressly agreed in writing; this does not limit rights or obligations that applicable law does not allow us to exclude.

10. Suspension and termination

TGT may suspend affected access to address a credible security threat, unlawful use, platform restriction, non-payment or material breach. Action should be proportionate; we will give notice and a reasonable opportunity to resolve the issue where practicable and lawful. Immediate action may be necessary to prevent harm or comply with law or Zendesk requirements. We may terminate for a material breach not remedied within 30 days after written notice, or immediately where it cannot reasonably be remedied or continuing service is unlawful. A customer may end the subscription through the supported cancellation process. This clause does not authorize charges after cancellation beyond amounts lawfully accrued.

11. Effects of termination and data removal

The use license ends when the applicable authorized term ends or the app is uninstalled/terminated. Customer should follow removal instructions before uninstalling. Tickets, Custom Objects, settings or other records in Customer’s Zendesk account may remain and are governed by Customer’s account controls and Zendesk arrangements. TGT will not delete unrelated records or promise deletion of data it cannot control. Data in TGT-controlled systems, if a product uses them, follows its disclosed deletion terms and applicable legal duties. Provisions that by their nature should survive, including accrued payment obligations, confidentiality, ownership, liability limits and disputes, survive termination.

12. Warranty disclaimer

TO THE EXTENT PERMITTED BY APPLICABLE LAW, APPS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, OR A GUARANTEE OF UNINTERRUPTED OR ERROR-FREE OPERATION. App outputs require appropriate review and are not legal, financial or other regulated professional advice. Zendesk or third-party changes may affect availability or compatibility. This disclaimer does not negate an express obligation in a signed agreement or any warranty or remedy that cannot lawfully be excluded.

13. Limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, BUSINESS OPPORTUNITIES OR GOODWILL. TGT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THE AFFECTED APP IS LIMITED TO THE FEES ACTUALLY PAID BY CUSTOMER TO TGT FOR THAT APP DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM. Related claims arising from substantially the same facts or events are treated as a single claim when applying this aggregate cap. This limit applies regardless of legal theory, but does not limit fraud, willful misconduct, gross negligence or any other liability that applicable law does not permit the parties to limit. Mandatory remedies prevail. Amounts properly owed by Customer and refunds expressly due under these terms are not extinguished by the cap.

14. Third-party claims

Notify the other party promptly about a third-party claim materially affecting the app or customer content, preserve relevant records and cooperate reasonably. Neither party may admit liability for or bind the other to a settlement without authority. No blanket obligation for Customer to indemnify TGT for all app use is created. A product-specific indemnity or defense obligation applies only if expressly agreed in writing; statutory liabilities remain unaffected.

15. Governing law and dispute resolution

Except where mandatory law requires otherwise, these terms are governed by North Carolina law, excluding its conflict-of-law rules. The parties will first attempt good-faith resolution through contact@tallguytechnologies.com. If unresolved, courts of competent jurisdiction in North Carolina will have jurisdiction, subject to any non-waivable right to another forum. No mandatory arbitration or class-action waiver is imposed.

16. Notices and general provisions

Business/legal enquiries: contact@tallguytechnologies.com; app support: contact@tallguytechnologies.com. Customer must maintain an accurate account contact for material notices. Changes apply prospectively with reasonable advance notice for material changes and affirmative acceptance where required; no retroactive expansion of data use is authorized. If a provision is unenforceable, it is limited or severed only to the extent permitted, leaving the remainder effective. Failure to enforce is not a waiver. Neither party may assign these terms without consent except as part of a genuine merger or sale of the relevant business, subject to law and without reducing applicable data protections. These terms and applicable agreed documents constitute the agreement for the app. No publicity or customer-logo permission is implied.
